AI Business Twin™ Client Agreement

Founding Client version 1.0. This online acceptance is intended for straightforward small-business engagements. AEO Zone may require additional terms for regulated, enterprise, highly customized, or sensitive-data deployments.

1. Services

AEO Zone will design and implement an AI Business Twin based on the agreed scope and Client-approved business knowledge. The initial scope may include knowledge architecture, customer-facing AI interactions, qualification logic, routing logic, guardrails, testing, and 30-day initial optimization.

2. Fees

Founding Client setup fee: $1,997. TwinCare™: $297/month beginning when the production Business Twin goes live. Usage-based third-party charges, special integrations, premium telephony/AI usage, or work outside the agreed scope may require additional written approval and fees.

3. Client Responsibilities

Client will provide accurate information, timely access, approved source material, and a designated decision-maker. Client is responsible for reviewing and approving business facts, offers, policies, regulated statements, and content before launch.

4. Approved Knowledge and Confidentiality

AEO Zone will use only information provided or approved for the project. Client should not provide passwords, bank credentials, unnecessary consumer financial data, protected health information, or other sensitive information unless specifically required and an appropriate written data-handling plan is in place. Each party will use reasonable care to protect non-public information received from the other.

5. Ownership

Client retains ownership of its pre-existing business information, trademarks, source documents, and proprietary materials. AEO Zone retains ownership of its reusable methods, templates, frameworks, prompts, testing procedures, know-how, and general Business Twin architecture. Client receives the right to use the configured deliverables for its business while fees are current, subject to any third-party platform terms.

6. AI Limitations and Human Oversight

AI outputs may be inaccurate, incomplete, or require human review. The Business Twin is not a substitute for legal, medical, financial, tax, underwriting, or other regulated professional judgment. Client remains responsible for final business decisions and for maintaining appropriate human escalation.

7. No Performance Guarantee

AEO Zone does not guarantee revenue, lead volume, conversion rate, cost savings, ranking, approvals, funding, or any specific business outcome.

8. Changes and Scope

Minor optimization during the initial 30-day period is included. New workflows, major integrations, additional departments, voice systems, custom development, regulated-data requirements, or material scope changes may be quoted separately.

9. TwinCare

TwinCare covers reasonable ongoing knowledge updates, monitoring, minor prompt/logic optimization, and support within the purchased service level. It does not include unlimited custom development. Recurring service may be cancelled prospectively according to the billing platform's cancellation process; fees already earned or incurred are non-refundable except where required by law.

10. Suspension and Third-Party Platforms

Service may depend on third-party platforms, APIs, hosting, messaging, AI providers, or telecommunications services. AEO Zone is not responsible for third-party outages or policy changes. Service may be suspended for nonpayment, unlawful use, abuse, or material security/compliance risk.

11. Limitation

To the maximum extent allowed by law, AEO Zone's aggregate liability arising from the engagement will not exceed fees paid to AEO Zone for the affected service during the six months preceding the event giving rise to the claim. Neither party will be liable for indirect, special, incidental, punitive, or consequential damages except where such limitation is prohibited by law.

12. Termination

Either party may terminate ongoing services prospectively. Setup fees compensate for implementation work and are generally non-refundable once work begins. Upon termination, Client should export any information it wishes to retain before third-party access is discontinued.

13. Entire Agreement

This agreement, the accepted scope, and any written change order constitute the agreement for the engagement. Additional enterprise or regulated-data terms may supersede portions of this agreement when signed by both parties.
